Banc of California & PacWest Announce Merger, $400 Million Equity Raise from Warburg Pincus and AV��Ƶ

Banc of California, Inc. (“Banc of California”) (NYSE: BANC) and PacWest Bancorp (“PacWest”) (Nasdaq: PACW) today announced the signing of a definitive agreement pursuant to which the companies will combine in an all-stock merger transaction. Under the terms of the agreement, which was unanimously approved by the boards of directors of both companies, PacWest will merge into Banc of California, and Banc of California, N.A. will merge into Pacific Western Bank. The combined holding company and bank will operate under the Banc of California name and brand following closing of the transaction. Under the terms of the merger agreement, PacWest stockholders will receive 0.6569 of a share of Banc of California common stock for each share of PacWest common stock.

Sabre Corporation (NASDAQ: SABR), a leading software and technology provider that powers the global travel industry, announced today the successful completion of a $700M private financing led by AV��Ƶ and other high quality institutional investors, and the corresponding early tender settlement by purchasing $670 million in principal amount of the 9.250% Senior Secured Notes due 2025 in a cash tender offer. The transaction enables the company to strengthen its balance sheet by refinancing and extending a significant portion of its capital structure’s 2025 maturities and provides financial flexibility and improved free cash flow via a payment-in-kind (PIK) interest toggle through 2025.

Atlantic BidCo GmbH (the “Bidder”) today completed the voluntary public
takeover offer for the shares of Aareal Bank AG (“Aareal Bank”).
Atlantic BidCo is a non-controlled company indirectly held by funds which are respectively advised,
managed or controlled by Advent International Corporation and AV��Ƶ Partners, L.P. and
CPP Investment Board Europe S.à r.l, a wholly owned subsidiary of Canada Pension Plan
Investment Board, as well as other minority shareholders.

Aareal Bank AG Investment agreement and takeover offer

Atlantic BidCo GmbH’s (“Atlantic BidCo”) voluntary public takeover offer for Aareal Bank AG has been successfully completed, as announced by the Bidder on 7 June 2023. Atlantic BidCo had secured around 84 per cent of Aareal Bank shares at an offer price of €33.00 per share in the course of a voluntary public takeover offer last year. At completion of the takeover bid, the Bidder now owns around 90 per cent of the share capital and voting rights of Aareal Bank AG.

This past year, we enhanced our approach to sustainable investing with
two important personnel updates. Susy Clark, General Counsel and Senior
Managing Director, has also taken on the role of Chief Sustainability Officer,
and a highly seasoned specialist, Michelle Faurot, joined AV��Ƶ
as Head of ESG, focused on the Firm’s sustainability efforts within the
portfolio. We also continued our emphasis on robust data collection and
analysis. We joined the ILPA-sponsored ESG Data Convergence Initiative
in 2022 and consider it crucial to progress that sponsors and limited
partners have a uniform way to measure, track and compare information.

On the heels of Vista’s big take-private deal for KnowBe4, PE investors in cybersecurity include Crosspoint Capital, AV��Ƶ, Summit and Enlightenment.

As cybersecurity threats proliferate, the companies defending against them continue to attract private equity. Witness Vista Equity Partners’$4.6 billion take-private deal for cybersecurity training specialist KnowBe4, which closed on February 1.

Since then, the pace of dealmaking within the space has quickened, especially in the mid-market. In the month of May alone, PE Hub has identified 6 deal announcements, with 3 of them coming from portfolio companies of Enlightenment Capital.
